This End User License Agreement is a legal contract between Apoorva Corporation (Clixter Website) and the individual or entity who purchases, installs, or uses the ‘Clixter QuickBooks Integration’ WordPress Plugin. 

By selecting a plan (Free or Paid), generating your License Key, and/or using the Plugin, you agree to be bound by this Agreement. 
If you do not agree, do not generate a license or install the Plugin. 

1. License Grant

1.1. Free Version 

If you select the Free Plan, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Plugin on a single registered website domain, subject to limited features and record count. 

1.2. Paid Version 

If you purchase a Paid Plan, you are granted a non-exclusive, non-transferable license to install and use the Plugin on the website and data records permitted by your plan, according to your purchased license tier. 

1.3. License Key and Domain Binding 

Each license issued is bound to a specific domain provided during registration on our Admin Website. 
Your license includes the following credentials: 

• License Key – identifies your purchased plan and activation limit. 

• Client Key – used for authentication. 

• Secret Key – used for secure API communication. 

You may not use the license key on any domain other than the one registered, unless explicitly permitted under your plan. 

2. Activation and Verification

2.1. License Activation 

During installation or first activation: 

• The Plugin connects to our License Server to verify your License Key, Client Key, and Secret Key. 

• If verification succeeds, the Plugin unlocks your plan features (Free or Paid). 

• If verification fails, the Plugin may not function fully or at all. 

2.2. Domain Verification 

Licenses are domain-specific. Attempting to activate the Plugin on an unregistered or mismatched domain will result in activation failure. 

2.3. Reauthentication 

The Plugin may periodically re-verify your license credentials to prevent fraud and ensure validity. You must maintain an active internet connection for periodic checks. 

3. Restrictions

You agree not to: 

• Share, distribute, or resell your License Key, Client Key, or Secret Key. 

• Modify, reverse-engineer, or decompile the Plugin. 

• Use the Plugin on unregistered domains or beyond the allowed site count. 

• Circumvent or disable license verification mechanisms. 

• Lease, rent, or sublicense the Plugin to third parties. 

Any such violation will result in immediate termination of your license without refund or notice. 

4. Ownership and Intellectual Property

The Plugin, including all associated code, design, logos, and documentation, is the intellectual property of Clixter – Apoorva Corporation and is protected by international copyright and trademark laws. 
This Agreement grants you only a limited right to use the Plugin; ownership remains with the Company. 

5. Updates and Modifications

We may provide Plugin updates, feature enhancements, or patches. 
To receive updates, your license must remain active and valid. 
Updates are automatically covered under this Agreement. 

We reserve the right to modify or discontinue the Plugin or its features at any time, with or without prior notice. 

6. License Term and Termination

6.1. Term 

Your license remains valid for the duration specified in your plan (monthly, yearly, or lifetime). 

6.2. Termination by Company 

We may terminate your license immediately if you: 

• Violate this Agreement, 

• Attempt to bypass license restrictions, or 

• Use the Plugin for unlawful or abusive purposes. 

6.3. Effect of Termination 

Upon termination: 

• Your license becomes void and non-functional. 

• You must uninstall and delete all copies of the Plugin. 

• Continued use after termination constitutes a breach of this Agreement and may result in legal action. 

7. Payment and Refunds

All payments for Paid Plans are processed through our secure Admin Website. 
Refunds are available under our 14-day Refund Policy, as outlined in the Terms & Conditions. 

Refunds will not be issued for: 

• Expired or cancelled licenses, 

• Misuse of license keys, or 

• Failure to adhere to domain registration or verification procedures. 

8. Data Handling

During license activation and verification, we collect: 

• Domain name, License Key, and version details 

• WordPress and PHP environment data 

• Plugin version and activation timestamps 

This data is used solely for licensing, analytics, and security. 
We do not store or transmit business data (e.g., customers, products, or orders) synchronized by the Plugin. 
All data transfers occur via secure HTTPS connections.

9. Support and Maintenance

Active license holders receive: 

• Access to Plugin updates 

• Technical support via official support channels 

Support is limited to Plugin functionality and does not include custom development or third-party compatibility issues. 

10. Disclaimer of Warranties

The Plugin is provided “as is” without warranties of any kind, express or implied. 
We do not guarantee uninterrupted operation or compatibility with all WordPress configurations. 
Your use of the Plugin is at your sole risk. 

11. Limitation of Liability

To the maximum extent permitted by law: 

• We shall not be liable for indirect, incidental, or consequential damages arising from your use or inability to use the Plugin. 

• Our total liability shall not exceed the amount paid for your license. 

This limitation applies even if we were advised of the possibility of such damages. 

12. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of State of Colorado, USA,  without regard to conflict-of-law principles. 
Any dispute shall be resolved exclusively in the courts of Broomfield, Colorado, USA. 

13. Changes to this Agreement

We reserve the right to update or modify this License Agreement at any time. 
The latest version will always be available on our website. Continued use after changes constitutes acceptance of the updated Agreement.
